Glendora Seniors Computer Club By-Laws

 

ARTICLE 1

The name of this club shall be "Glendora Seniors Computer Club."

ARTICLE 2

The objects of this club are:

        To help members solve computer problems.

        To present new or unfamiliar software and hardware.

        To share ideas how best to use existing software to accomplish specific ends.

        To help members of all ages become better informed about Computers, their use and maintenance.

ARTICLE 3

Membership shall consist of members of all ages who have paid dues in accordance with the established schedule of dues. Dues expire at the end of each calendar year. If not paid by January 31, the members will be dropped from the membership roster. To become re-instated, an ex-member must pay the current annual dues regardless of the month renewing. There will be no pro-ration. New members will be assessed dues in proportion to the number of months remaining in the calendar year. The dues schedule is set by a majority vote of the membership of the club. A notice of intention to vote on a change of dues shall be given 30 days before the meeting at which the vote is to be taken.

ARTICLE 4

Section 1. Officers shall be president, vice president, past president, secretary, treasurer, and technical consultant. The term of office shall be for one year, January 1 through December 31.

Section 2. Annually a nominations committee shall meet no later than the first meeting in October to select a slate of officers. The nominations committee shall be chaired by the vice president and shall include the president, past president and at least two members in good standing selected by the vice president. The committee shall recruit one or more candidates for each office to be presented to the membership at the first meeting in November. Nominations from the floor at the November meeting shall be accepted provided the member being nominated is present and gives his or her consent to the nomination or, if not present, has given his or her written consent prior to the meeting. Elections shall be held at the first meeting in December.

Section 3. The president for any current year shall become the past president for the following year without further vote. If any elected officer is unable to fulfill his/her obligation, the president shall convene an ad hoc nominations committee to nominate a candidate (s) for the office (s) within 30 days. If the presidency is vacant, the vice president shall assume the office and convene a nominating committee to make nominations to fill the office of vice president. If neither the president nor vice president is able to preside, then another officer shall perform, in the following ranking: secretary, treasurer, and technical consultant.

Section 4. Duties of Officers

President: Presides at meetings, oversees the work of the club, appoints committees, signs or appoints someone else to sign checks drawn on the club account.

Past President: Advises the president.

Vice President: Acts in place of the president in his absence and chairs the nominating committee.

Secretary: Keeps the minutes of the meetings, sends them to the president and the newsletter editor. Copies of the minutes are in the Newsletter. Is responsible, at the direction of the president, for the correspondence of the club. Keeps a permanent record of the club minutes and passes them on to the next secretary.

Treasurer: Receives and deposits all monies collected by the club. Makes a financial report available by the 5th of each month. Sends a copy of the report to the GSCC Board and Chairpersons by the 5th of each month. Posts the report on the bulletin board during the first general meeting of the month for the membership to view and removes it after the first general meeting. Pays approved bills.

Technical Consultant: Advises the club on technical issues.

ARTICLE 5

General meetings shall be held at the La Fetra Center, 333 E. Foothill Blvd. in Glendora, on the second and fourth Wednesday of each month at 1:00 P.M. When these days conflict with a holiday, the meeting will not be held. By a majority vote of those present at a preceding meeting, a meeting date which conflicts with holiday may be rescheduled for another day. On occasion, the general meeting may be held elsewhere when doing so will facilitate the meeting. These occasions will be announced at least twice prior to the date of the meeting to be held elsewhere. Twenty-five percent of the membership shall constitute a quorum for a general meeting.

ARTICLE 6

An executive board consisting of the officers shall meet as needed to plan programs, or otherwise expedite the work of the club. These meetings will be held on the second Wednesday of the month following the General Meeting at the La Fetra Center and are open to all members. Three members of the board shall constitute a quorum. The executive board shall have the authority to approve an expenditure of up to $100 without a vote of the Membership.

ARTICLE 7

The executive board may appoint committees as necessary.

ARTICLE 8

The conduct of all meetings of the Club shall adhere to Robert's Rules, where there is not a definitive bylaw in effect.

ARTICLE 9

Amendments to these bylaws may be submitted in writing at any general meeting and enacted by a two-thirds vote of the members present at the next general meeting.

ARTICLE 10

Any donation to the club shall be without condition.

ARTICLE 11

Any assets, including funds, owned by the Glendora Seniors Computer Club upon dissolution of the organization shall be donated to the La Fetra Community Center through "Partners of La Fetra." Software including operating systems shall be removed (format hard drives) before transfer.
